CIBA AGM and CPD

The CIBA Committee is looking forward to welcoming you to their AGM and CPD Event on the 14th of July. The event will start with the AGM and will be followed by the CPD Session. This CPD Presentation entitled ‘Boardroom Disputes – Removal of Directors’ will examine the legal principles and procedural requirements that apply to the

process of removing directors.

The speaker will discuss: 

• Typical provisions which provide for the removal of directors pursuant to the Company Constitution;

• The process for removing directors pursuant to section 146 of the Companies Act 2014; and

• The notice requirements that must be adhered to when seeking to effect removal. The Presentation will conclude by looking at the particular issues that arise in the case of the removal of shareholder directors and will examine recent case-law pertaining to this issue including DAF Truck Services (Cork) Ltd [2025] IEHC 664.
