CIBA AGM & CPD: Boardroom Disputes - Removal of Directors

The CIBA Committee welcomed members to their AGM and CPD Event. The event commenced with the AGM and was followed by the CPD Session.

This CPD presentation, entitled ‘Boardroom Disputes – Removal of Directors’, examined the legal principles and procedural requirements that apply to the process of removing directors.

The speaker discussed:

• Typical provisions that provide for the removal of directors pursuant to the Company Constitution;

• The process for removing directors pursuant to section 146 of the Companies Act 2014; and

• The notice requirements that must be adhered to when seeking to effect removal.

The presentation concluded by considering the particular issues that arise in the case of the removal of shareholder directors and examined recent case law pertaining to this issue, including DAF Truck Services (Cork) Ltd [2025] IEHC 664.
